Register Your Company With the Help of INC-29

On the juncture of World Labor Day, 2015, The Ministry of corporate Affairs (MCA) introduced a major reform for the budding entrepreneurs in India.

India has the ranking of 158th on the list of Ease of Starting a Business, and no other person can understand the agony and vexation better than Indian entrepreneurs.

Forming a new company has always been an unattended pain for entrepreneurs in India.

Incorporation of a new business will now be 5 times easier as only one form must get filled as against 5 earlier. The introduction of this new form significantly improved India's ranking.

The new five-in-one form known as INC-29 replaces the tediousness of incorporating a new business with enthusiasm especially amongst the younger generation.

The INC-29 merges the application for Director's Identification Number (DIN), Name Registration,

Permanent Account Number (PAN), Tax Deduction Account Number (TAN) and of course Incorporation.

This step not only makes the procedure undemanding but also relatively cheaper in monetary terms.

In layman language, incorporation of a company can now be done without succumbing to the length process acceptance of Registrar of Companies (ROC) to authenticate the name application.

The article is intended to show a way for an entrepreneur in registering his startup.

STEPS INVOLVED:

Obtain the Digital Signature Certificate

The Digital Signature Certificate is used to ensure the certainty and the document authenticity filed on the online portal as per the Information Technology Act, 2000.

The DSC can only be furnished by those agencies which are specified and authorized by the Controller of Certification Agency (CCA). It is important for an entrepreneur to note that DSC has the validity period of only one or two years, so one needs to keep a regular check on it to get it renewed when required.

Fill in the INC-29 Form

Before the introduction of INC-29, it was indispensable for an entrepreneur to fill in an exclusive DIN form in order to obtain the Director Identification Number for the organization.

Now, the INC-29 form is inclusive of DIN. If an entrepreneur has already received a DIN number, then all he needs to do is fill in the number in the assigned box in the form.

For the entrepreneurs who are getting it done for the first time can link the following documents with their INC-29 form to attain DIN:

Personal and Occupational Details with Educational Qualifications.

If an Indian resident, Permanent Account Number is required.

If a Foreign National, Passport number is needed.

Electronic mail Address of the Director.

Mail Address of the Director.

Identity Proof by one of these: - Voters Identity Card / Driver's License / Passport / Aadhar Card.

Address Proof by one of these: - Bank Statement / Electricity Bill / Telephone Bill / Mobile Bill.

Filing the Name of the Company

It is of paramount importance to cohere to the listed Guidelines for Naming a Company, as per the Companies Act of 2013 as INC-29 form allows only one name to be written against the earlier norm of providing six names.

If the proposed name of your company is not welcomed positively then the entire application can be on the verge of getting rejected.

The following points should be kept in mind prior to the company's name proposal:

If there is any other business registered under the same name with a Proprietorship or Partnership.

If the name adheres to the format stated in the Companies Act of 2013.

If the proposed name is related to any next of kin.

If the company's name is identical or similar to the trademark of any company.

If the company's name is similar to any foreign company or Limited Liability Partnership.

Incorporation Documents

Lastly, along with accurately filled INC-29, one needs to attach the following documents with initials of all the directors:

Incorporation Documents:

Articles of Association (AOA)

Memorandum of Association (MOA)

Declaration and Affidavit by the first Subscribers and Directors.

Proof of the Registered Office Address. - Rental Agreement or Sale deed.

Copies of the utility bill of the registered office address that is not more than 2 months old.

If the proposed company's name is filed or is registered with trademark department, then a No-Objection

Certificate from the trademark applicant or owner must be linked with the form.

Above are the steps that must be attended to while filling the INC-29 Form for getting your company registered in the easiest way possible.

Company Structure

Structuring a building or a business depends on the risk you are willing to shoulder. A building can be like PETRONAS TOWER or a solo concrete structure just standing high. There are four legal structures best chosen for the business incorporation. Enlisted below are the four structures with their pros and cons.

Proprietorship:

This is the most common and simplest structure, which is popular for solo business owners. It gives you the liberty of filing your expenses and income from your personal income tax returns. This way, any business loss that might occur offset by the income you have earned from other sources if shall be the need.

Similarly, you are high on the stakes of getting your property seized in case of bankruptcy or being sued. This structure is best for testing your business concepts or if you are bearing no personal assets. The one like consultancy firms and other service providers where no or only a few employees are part of the organization with no such investments in assets.

Partnership:

If you are confident in your idea but with no investment then make sure you collaborate with someone. This structure is bifurcated in general and limited partnership. A general partnership offers any time farewell to a creditor after any or all the partners.

Whereas a limited partnership indulges a general partner with unlimited personal liability and limited partners complete, liability is generally limited to the amount they have invested. You need to report your profit and losses in an informational tax return and fill it with your personal tax return.

It is a low-cost venture and, you can avail the advantages on taxes with sharing of profits and losses on the tax return. The only demerit it offers is for the general partners who are always at the risk even if other partners sink the company. Best in real estate industry.

Corporation:

The most prominent and mushrooming structure of today's era. All the big corporations and big investors out there in the business world are the examples of this structure. It is an independent legal entity that is separated from its owners and you do not need to necessarily risk your personal assets beyond the limit of your investment in the corporation.

These corporations have S class and a C class that of Mercedes, the S-class is the most common with the limitation of 100 shareholders and C class is for high-profile ventures. A board of directors is held accountable for these corporations.

As with its size, it includes a big investment and with that, investment comes high risk. It accounts to more tax returns and other legal formalities. This structure suits the manufacturers and restaurant chains.

These corporations are either part of a large group of investors of ownership of Family Business or Private Limited Company. Therefore, those interested in the corporate life and entrepreneurial career. Then they must not shy away from the Private Limited Company Registration and begin their venture on a positive note.

Limited Liability Company:

This structure was evolved for the sole principle of avoiding the double taxation. It shares its merits with Proprietorship of profits and losses being passed through the owners and included in personal tax returns. It is better than a corporation in liability protection along with no limit on shareholders.

The only demerit it carries is paying on self-employment tax on your share of the draw depending on how the entity decides its taxation. This structure is encouraged and welcomed by the companies to welcome foreign investments. Special Economic Zones are the best place to land in these projects.

If investing in a foreign land then you need to collaborate a local citizen and make him the representative of all the drafting of your legal documents. S/he will be the partner of 51% shares in your company and the sole share of profits. Best for the startups who are willing to try their ideas with less risk and expense.

Every business has its risk factors involved, the careful planning, operational excellence and execution with detailed market research contributes to the success of the business. It is important for a business owner, sound decision that helps in covering the risks and minimizing their impact on the company.

Ghost and the Darkness

[Cultural Introduction: In traditional Hindu culture, cremation involves barefoot (as a mark of respect) friends and family members carrying their dead, on a cot, to the crematorium. The cot is added with support arms, usually bamboo poles which are carried by the mourners on their shoulders. While on the way to the crematorium, they chant: Bolo Hori, Hori Bol. Hori in Bengali language refers to the Almighty and the word Bol is, "to say", "to invoke the name of". So Bolo Hori means, "In the name of God"]

A pair of baleful pale-yellow glassy eyes with dark vertical slits, stared malevolently at me. With ears laid back, tongue sticking out and the face contorted with a horrendous snarl, it was the face of the devil alright, about to launch itself into an attack. The owner of that hideous face, the spotted skull, was resting comfortably on a small, intricately carved, mahogany vanity table, set against the living room wall. The wide open mouth revealed a pair of 2-inch long yellowed canine teeth dangling from the upper jaw, and two rising from the bottom. At eight-odd years of age, the sight presented me with a spectacularly fearful vision of a painful death.

It was early evening when I first met the monster as I was riding my cousin's tricycle while exploring their living quarters. My feet froze on the pedals, as my gaze went up the wall. Just above the evil head, the greenish dirt colored hide was spread out. There were dark chocolate-colored rosettes on the fur, with an inch wide black edge all around. The ominously long tail of the beast was also plastered against the wall. It looked as if the monster was flying in space looking for its prey. And here I was, defenselessly counting out the last minutes of my young existence. This was my first encounter with the face of death and my child brain was simply mortified.

From the intervening open door to the kitchen, I could hear the sounds of pots and pans clanking against each other and the ladle, as dinner preparations were on. Also wafted into my ears was the merry laughter of two sisters, my mother and my aunt, as they attended to the kitchen chores. The aroma of dinner was invading my nostrils, but I was sure I wouldn't be seated at the dinner table to enjoy it. Not with this huge sprawled out monster aiming straight for me. Even at that early age, I had seen pictures of leopards mercilessly killing prey - old and young alike. I didn't need to be told that my chance of survival was next to none.

My bladder was threatening to yield or maybe it had, and that was the moment I heard my name called out from behind. I jerked, but couldn't risk taking my eyes off that monster on the wall, to face the caller, till my brother's hands rested on my shoulders. Ah that uncertain relief that flowed through me! The next moment, a question that presented itself was: were we both in mortal danger now? My elder brother followed my gaze and immediately knew the whole story - I didn't have to speak. He put on a reassuring smile and told me it was just a dead leopard that my uncle's dad had shot. He walked over to the wall and as a dare, inserted his fist in-between those dreaded jaws and asked me to join him. Sheer madness I thought, as I became conscious of the blood resuming its flow in my feet. I was simply pleased to have the opportunity to get out!
My brother started laughing at my plight, but I was beyond care. My first and only concern was to get out of that room as fast as I could. Like a bat out of hell, I did. If my brother hadn't come looking to fetch me for dinner I don't know what would have happened. Most probably I wouldn't have been typing these lines. In that fading light, that awful monster appeared all the more diabolical, and had almost succeeded in stopping my poor little heart. Such was my fright. At that moment, all I could think of was to put as much distance as I possibly could, between me and that creature from hell.

We were visiting my maternal aunt's living quarters on Remount Road, Calcutta, India. Right in front of the Territorial Army station. My uncle used to work for a shipping company and was in signal and communication. His job necessitated that he work the night shift but my aunt, a small diminutive figure, was scared of living alone. There was another bigger reason for her fear. She would complain that all through the late evening, past midnight and right up to early morning hours, people could be seen and heard carrying dead bodies for cremation. The procession of mourners and pall-bearers would jog-trot the very road that runs right in front of the red brick building. We had joined our aunt to provide her relief and company in the absence of her husband.

Early that evening, I had already witnessed at least two parties carrying their dead to the crematorium. The scene was a typical one - a cot tied securely on to two green wobbly bamboo poles, which were then carried by the pall-bearers. The deceased's body was placed on the cot, covered with a white sheet and only the face showing. Often there would be a rope looping the corpse to the cot to hold the former in place.

Standard fare was a wreath around the neck, flowers strewn on the body, and the customary sticks of tube rose (Rajanigandha) attached to the four posts. It was the smell of burning incense and sway of the Rajinigandha sticks on the deathbed making its last march, that made the scene particularly eerie for the bystanders. Even as a child, death has been a stark realization for all of us. We are all conscious of its finality and irreversible nature. That is was makes us mortally afraid even to watch such a scene.

At the dinner table, I had completely lost my appetite after my encounter with the devil. But my mother would have nothing of it, and her instruction was plain and simple: eat! That command now made it was obligatory for me to at least nibble at the food on my plate. I was so relieved and glad that we had come to spend only one night at my aunt's. One night is all I had to manage to survive I told myself. Dinner ended with my mother admonishing me for wasting food. But for once, nobody needed to coax me to go to bed. All I wanted was to close my eyes and make the devils go away. Tomorrow we would be leaving for the safety of our home. For tonight, just pull the cover over the head and force sleep to take over. It was then I heard the gong go off at the Territorial Army post, followed again by that dreadful, and at the same time mournful, chant: Bolo Hori... Horibol!

Harmonization and Labeling

• This article is not to be confused with the Global Harmonized System of Classification and Labeling of Chemicals (GHS) standards, also called CLP in the EU whose main purpose is to communicate hazards on product labels and safety data sheets.

• In general the principals of harmonization are the same, i.e. to 'make one' or create a common framework, whether it be for labeling or for other purposes. Harmonization brings Clarity, Consistency, Confidence and Compliance. Imagine if all countries follow the same regulatory labeling guideline, the savings in cost would be significant. It was with this same intent that CODEX was established by the WHO way back in 1963 with the intent of developing food standards, codes of practice, guidelines and other recommendations which can be adopted by all member countries. Even though CODEX is still active, Codex standards and related texts are voluntary and member countries are not bound by or required to adopt them. Many countries who are just beginning to put their regulatory frameworks together, end up adopting the regulatory framework of their largest trading partner to ease trade (foreign partner does not have to change labels to sell locally). Many countries have adopted the US FDA regulatory framework as a model for their own country. These are examples of harmonization at the regulatory level and country level.

• Extending the same principals to the company level, global organizations with operations and sales in many countries implement a continuous process of harmonization. By understanding the regulatory requirements of different countries, organizations have been able to make a single common label which meets the regulatory requirements of multiple countries or markets. Designing, approving and printing one label as opposed to separate country specific labels is far more efficient and cost effective.

Implementation

• However, this is easier said than done, because the regulatory teams handling the respective countries have to decide on the common text that has to be present on the artwork. Sometimes, it may be possible to combine the secondary packaging artwork text, but not the primary packaging text. In the Pharmaceutical industry, the package inserts are most often combined for multiple markets, while keeping the other component labels the same. This by itself is a big saving in terms of time and effort.
Harmonization changes in labeling also require the packaging BOM to be changed to reflect common Item Codes or Artwork Codes for the combined label across all the affected SKUs.

• Harmonization is not a one-time thing and as regulations change, it requires constant effort to make sure the 'harmonized label' continues to comply by the regulations of the intended market. Even though adjacent countries or markets have similar regulatory frameworks, the changes to these regulations do not happen at the same time. So it's not uncommon to use the maximum regulatory requirement of all countries related to the 'harmonized label' even though some countries may not require it.

• The entire process of harmonization can be managed relatively easily if the text change is part of a planned labeling change. However it becomes difficult if there is an immediate labeling change initiated due to regulatory or other internal reasons.

• Thinking about harmonization should start early in the artwork life cycle i.e., from draft submission to the regulatory agencies. If the regulations are the same or similar, the organization can save time by using a previously available submission artwork.

Areas of Harmonization

Typical areas of label harmonization include

- having multiple languages in the same label or artwork to satisfy different market requirements

- using multiple Units of Measurement (UoM), metric and non-metric in the same label. E.g. grams (oz)

- combining based on pack size, e.g. having a single packaging insert for the 20 tablets, 50 tablets and 100 tablets pack

- using globally accepted naming conventions, e.g. for Ingredient Names

o identifying botanicals only by their Latin names

o identifying color additives only by the "CI" numbers used in the European Union

o using terms from other languages, such as "Aqua" and "Parfum" instead of "Water" and "Fragrance."
Common practice is to use both names with one in paranthesis

o Water (Aqua)

o Fragrance (Parfum)

o Honey (Mel)

o Sweet Almond (Prunus Amygdalus Dulcis) Oil

o FD&C Yellow No. 5 (CI 19140)

- same claims in different markets. Companies need to be careful when doing this because of the diverse interpretation of words in each market. E.g.

o "nutrition" in Pakistan was understood as "rich, meaty, fatty food" whereas in Thailand it connoted "pasteurized no preservatives".

o "Healthy" in Philippines was understood as "a fat man in a Hawaiian shirt", but in Singapore it implied "going to run everyday".

o "Fortified" in Korea connoted "strong and robust" but Chinese understood this as "there must be something wrong with it in the first place."

Harmonization is an on-going process and each organization needs to do its own cost-benefit analysis before attempting it.

Tropical Liaison by Richard Hillman Book Review

Richard Hillman's book opens in a state of political unrest. Thirteen-year old Rafael is hiding in the attic of his parent's home after the Security Police arrive. He hears loud, horrible noises before the quiet. Going downstairs to investigate, he finds his parents' bodies covered in blood. He escapes and goes to the Freedom Front's encampment. Twenty-four years later, an election was held in the small fictional island of Guarida. Claudio Sanchez comes to power.

Emmanuel White Vidal, Manny to his friends, is called to a meeting at the State Department's Bureau of Intelligence and Research. He is asked to go down to the University of Guarida for a couple of years and is told that there is a strong possibility his cousin Rafael, who's been presumed to have died in a house fire along with his parents many years ago, is still alive. Manny agrees to go to Guarida and makes plans to search for his cousin.

Once arriving in Guarida, Manny notices a stranger watching him at the airport. He is curious as to why the man is watching him, but eventually puts it out of his mind and looks for the driver who is there to pick him up. Upon arriving at the university, he learns that it has been closed for a few days due to protesters.

Already, he learns of political unrest in the country. Touring the city with his driver, he finds a place to rent and settles in.

At every turn, Manny's idealism is challenged. He finds himself deceived by a charismatic president of oil-producing Guarida. Worse, he is manipulated by the US government, seduced by a beautiful escort, and tortured by local police. He escapes the police and finds his way to the Freedom Front's encampment where he finds his cousin, Rafael. He must make a choice to save himself and his cousin by betraying his county or facing terrible consequences.

Hillman brings the twists and turns of the story in a dramatic climax. The reader will surely anticipate what comes next with each turn of the page and will find it hard to put this book down.. The author has extensive knowledge of U.S. relations with foreign countries which is demonstrated throughout the book. A very enjoyable read and I look forward to more novels written by Hillman. I highly recommend this book to anyone who enjoys spy thrillers and political espionage.

7 Health Benefits of Turmeric

When it comes to herbal remedies, few can match up to the health benefits offered by turmeric which is part of the rhizomatous herbaceous perennial plant. Turmeric is part of the ginger family and it has been used for centuries as both a cooking ingredient and as a health remedy in Southeast Asia, and it's high time it gets the recognition it deserves around the world.

To help you become more familiar with this herb, we will list the well-known benefits of turmeric and curcumin. Below are 7 health benefits you can gain from including turmeric into your daily diet.

1. It has Anti-Inflammatory Properties

Turmeric has high levels of anti-inflammatory properties which will help reduce swelling significantly and prevent further inflammation in the future. This makes turmeric a highly effective remedy for health problems such as arthritis and other joint pain.

2. Strengthens the Immune System

Turmeric contains a compound known as lipopolysaccharide. This compound helps build up your body's immune system. The turmeric herb itself contains antibacterial and antifungal properties that will further help boost your immune system and help prevent common ailments such as colds, coughs and flu. These nutrients also transfer to your baby during breastfeeding and will help in preventing ailments from developing.

3. Lowers Cholesterol Levels

Turmeric has been proven to help regulate cholesterol levels in the body. This can lead to a healthier heart and effectively lower the risk of developing heart disease in the future.

4. Lowers the Risk of Osteoarthritis

Turmeric is well-known for its anti-inflammatory capabilities which is why it is often used as a remedy for arthritis and joint pain. Including turmeric into your daily diet can effectively help stem arthritis problems in the future, a great way to help strengthen bones and joints early on.

5. Helps Prevent Cancer

While studies are still being conducted to this day, medical researchers have found great potential in turmeric when it comes to halting or slowing the spread of cancer cells in the body. Research has shown that turmeric can actually halt the growth of angiogenesis and metastasis which are the two main symptoms of cancer.

6. It may Prevent Alzheimer's Disease

It is true that there are no known cures for Alzheimer's disease, but turmeric and curcumin might hold the key to the next best thing; which is prevention. One of the main causes of Alzheimer's disease are the protein tangles called amyloid plaques that block the nerve cells of the brain. Curcumin can have positive effects on the brain as it can dislodge and clear these blockages.

7. It has Anti-Aging Capabilities

Thanks to turmeric and curcumin's anti-inflammatory and antioxidant properties, they are now being looked at as a way to slow down and prevent age related health risks. This is due to the fact that two major factors of aging are connected to the body's ability to burn fat and the higher risk of inflammation. Put two and two together and you have what could be the answer to retaining health and energy, even during the twilight of your life.
